Welcome to Lexora Labs (“Lexora”, “we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of our website lexoralabs.com (the “Site”) and any services offered through it (collectively, the “Services”). By using or accessing the Site or Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Permitted Use & Restrictions

You agree to use the Site and Services only for lawful purposes and in a manner consistent with these Terms. You may not:

The Site may include links to third-party websites, content, or services that we don’t control. We do not endorse or assume responsibility for the content, policies, or practices of those third parties. Accessing them is at your own risk.

4. Disclaimers & No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COSTA CONSULTING GROUP LLC (DBA LEXORA LABS), ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR SERVICES SHALL NOT EXCEED USD $[Insert Cap or “the amount you paid, if any”].

6. Termination & Suspension

Upon termination, your rights to access the Site or Services cease immediately. Provisions of these Terms that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability) will remain effective.

7. Modifications to Terms

We may revise or update these Terms from time to time. When changes are material, we will post an updated effective date and may provide notice (e.g. via email). Your continued use of the Site or Services after changes are posted constitutes acceptance of the new Terms.

8. Conflict With Custom Agreements

These Terms govern your access to and use of the Site and Services offered therein. However, if you enter into a separate written agreement with us (such as a consulting, project, or service agreement), then in the event of any conflict between that separate agreement and these Terms, the terms in the custom agreement shall prevail to the extent of the inconsistency. These Terms do not supersede, replace, or limit any specific terms you and we may agree to in a separate contract.

9. Governing Law & Dispute Resolution

These Terms, and any dispute arising out of or relating to them, are governed by the internal laws of the State of California (without regard to its conflict-of-law rules).

Any legal action or proceeding shall be filed in the state or federal courts located in San Mateo County, California, and you submit to the personal jurisdiction of those courts, unless we mutually agree in writing to another venue.

10. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

11. Entire Agreement

These Terms (together with our Privacy Statement and any documents they incorporate by reference) constitute the entire agreement between you and us regarding the Site and Services, superseding any prior or contemporaneous agreements. In case of conflict, these Terms govern site / service usage, and any custom agreement governs its specific subject matter.
